ABOUT THE COURSE:

This course is ideal if you want to develop / master all skills by increasing fluency and confidence about legal issues in English. The course is for those who pursue a career requiring good legal English communication skills about specific legal issues or if you are already working in a professional environment that uses legal English and wish to improve your skills and knowledge in common legal questions.

 

Relying upon our rich experience in cross-border joint venture transactional work as well as in the legal English teaching, this two-day course is intended to help lawyers, decision makers, consultants and negotiators understand the breadth and depth of business and legal considerations associated with international joint venture transactions and guide them in their joint venture journey.

 

Focusing on equity joint ventures where the parties participate through equity in a joint venture vehicle for the purpose of conducting business together, Course will provide participants with comprehensive legal framework and insight.

  • Comparison of Contractual Joint Venture, Equity Joint Venture, and wholly-owned subsidiary;
  • Legal Due Diligence and local/international Risk assessment;
  • Ownership/ Equity Structuring;
  • Management Structure;
  • Corporate Governance and Control/Power Structuring;
  • Authority & liability of Officers and Executives;
  • Corporate Finance;
  • Transfer of Shares, Exit and Termination;
  • Dispute Resolution and Governing/applicable law;
  • Negotiating and Drafting term sheet & confidentiality agreement;
  • Negotiating and Drafting International Joint Venture Contract;
  • Negotiating and Drafting Ancillary agreements;
  • Settlement of Disputes and Deadlock resolution;

 

 

COURSE MATERIAL:

PowerPoint-syllabus, checklists and contract examples will be delivered during the lectures.

 

COURSE DURATION:

Lecture will be delivered during the weekends
